Standard Terms of Business.

Billing & payment
OuterEdge issue all invoices electronically: payment must be made within thirty days (unless otherwise specified) from the date of invoice by BACS or Credit Card via our online billing system. All work will be quoted in Sterling (GBP).
OuterEdge reserve the right to charge interest on any overdue invoices at the current statutory rate prescribed in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 until payment is received in cleared funds
Value Added Tax (VAT)
VAT will be charged on all services and expenses for UK clients. Those in the European Union will not be charged VAT providing they produce a valid VAT registration number for the country concerned.
Proposals
Any proposals made by OuterEdge remain valid for 30 days from the date of issue unless otherwise stated. After this period, if we feel necessary we are entitled to issue a fresh proposal.
Project variations
If the client requests any variations or additional tasks which aren't included in the agreed proposal, additional charges may be applied based on our hourly rate. In this case, a variation notice will be supplied. A variation notice will describe the nature of the variations and/or additional tasks, and must be signed as agreed by the client prior to OuterEdge being required to perform the work. Any additional work that is not stated in the agreed proposal will be invoiced for separately.
Direct costs and expenses
Unless specifically included in the proposal, expenses are payable in addition to the proposed fee. Expenses will be agreed in advance within an approved budget and billed, at cost, monthly in arrears. A full mileage and expenses schedule will be provided with the monthly invoice. All rates below are exclusive of VAT.
- Mileage: £0.40 per mile
- Accommodation (per person per day): £75
- International accommodation: At cost
- Printing / postage / copying / other disbursements: At cost
- Trains / taxis / flights (economy class): At cost
Subcontractors
Although unlikely, OuterEdge may engage additional staff or subcontract aspects of the service if appropriate for the effective delivery of the work. Any change to these arrangements will be discussed and agreed with the client in advance.
From time to time there may be a requirement for OuterEdge to procure services or equipment outside the scope of its normal operations (for example: trade mark attorneys). This will be carried out against a specification agreed with the client. The contract for the chosen services or equipment and responsibility for the quality of the delivered services or equipment will be directly with the client unless otherwise stated.
Publicity
Unless specifically stated the client allows the use of their name and a description of the work undertaken, including imagery to be use by OuterEdge in publicity material, websites, press releases and any other media produced by OuterEdge. The clients confidential personal information (such as telephone numbers and address) will not be used, as per our Privacy Policy.
Copyright
The copyright of all intellectual property contained in all images, documents, presentations, conceptual artwork or research material provided to the client is owned by OuterEdge unless specifically stated otherwise, and this material must not be used elsewhere. If unsure you should contact OuterEdge. OuterEdge will be credited in full as author and copyright holder of such materials. Furthermore, OuterEdge will be free to make future use of the general market intelligence and research findings obtained during the contract.
The client will have copyright over the finished product, files, images and all agreed deliverables (such as final visuals and wireframes) once full payment has been received.
Warranty
Bugs will be fixed at no cost for a period of three months from date of launch. After this period OuterEdge can decide if bug fixes are to be done at no cost, but reserves the right to charge for these tasks.
Self hosting
OuterEdge can provide hosting services suitable for all requirements. However if you choose to self-host, the following notes apply:
- The server must be running PHP5 and MySQL5
- Servers must be Unix/Linux based running Apache server
- For reasons of both performance and security, some sites are not viable using standard ‘shared’ hosting packages
- We will need access to the server control panel and have full access to the DNS and name-server records plus SSH and FTP access. These details must be provided well in advance of any proposed launch date
- It is common for website traffic to dramatically increase after a new design has been implemented and SEO work has been carried out. It is the clients responsibility to ensure that the server is adequate for the amount of traffic that the site receives, and carry out any necessary backups. OuterEdge cannot accept any responsibility for slow or underperforming websites as a result of inadequate hosting.
- If you decide to move your website between hosting companies, you will be charged at our standard hourly rate plus VAT for the move.
Confidentiality
OuterEdge will treat as secret and confidential any unpublished information relation to the client’s business plans or finances.
Insurance
OuterEdge is comprehensively insured through Hiscox Insurance Company Limited.
